These Terms of Service (“Terms”) apply to all purchases made from our website. By placing an order, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not place an order on our website.

This website is operated by Advance Audio Australia Pty Ltd, ABN 47 069 765 368 (“we”, “us”, “our”), an Australian business based in Sydney, NSW.

2. Use of the website

You must use our website in accordance with these Terms and all applicable laws and regulations.
You must not interfere with or disrupt the operation of the website, attempt to gain unauthorised access, or use the website for any unlawful or fraudulent purpose.

We may suspend or terminate access to the website at any time, without notice, for any reason.

3. Product information

We sell lighting and related products, including Uberlight Flex and Frame (“Products”).

We aim to ensure that product descriptions, images and specifications on our website are accurate and up to date. However:

  • colours, dimensions and appearance may vary slightly due to screen settings, manufacturing variations or improvements to the products
  • all descriptions, images and other information are provided for general guidance only.

We reserve the right to discontinue or change Products, specifications, pricing and availability at any time without notice.

4. Prices and taxes

All prices on our website are in Australian dollars (AUD) and, unless stated otherwise, include GST.
Prices may or may not include shipping or delivery charges, which if applicable will be calculated and shown at checkout before you confirm your order.

We may change prices at any time. The price payable for your order is the price displayed at the time you place your order, subject to any obvious errors.

If we discover an error in the price or description of a Product you have ordered, we may cancel your order and offer you the option to reorder at the correct price or receive a refund.

5. Orders and acceptance

When you place an order on our website, you are making an offer to purchase the Products in your cart in accordance with these Terms.

We may accept or reject your order at our discretion. Acceptance occurs when we:

  • send you an order confirmation by email, or
  • dispatch the Products to you,

whichever happens first.

We may cancel your order (in full or in part) after acceptance, including if:

  • the Product is unavailable or discontinued
  • there is an error in the price or description
  • your payment is declined or not received
  • we reasonably suspect fraud or unauthorised activity
  • we are otherwise unable to fulfil the order.

If we cancel your order after payment is received, we will refund the relevant amount to your original payment method.

6. Payment

You must pay for your order in full at the time of placing the order, using one of the payment methods made available on our website.

By providing payment details, you confirm that:

  • you are authorised to use the chosen payment method, and
  • the information you provide is accurate and complete.

We use thirdparty payment processors to handle payments securely. We do not store your full credit card details.

Your order will not be dispatched until payment has cleared.

7. Shipping and delivery

We deliver Products to addresses within Australia (and any other locations we may specify on the website from time to time).

Delivery times and costs will be displayed at checkout and may vary depending on your location, the shipping method selected and product availability.
Any delivery timeframes provided are estimates only; they are not guaranteed and are subject to factors outside our control.

Risk in the Products passes to you when they are delivered to the delivery address you provide (or when they are left in a safe place or with an authorised recipient, if you have given such permission).
Title in the Products passes to you once we have received full payment.

You are responsible for providing accurate delivery details. We are not liable for losses arising from incorrect or incomplete delivery information.

8. International orders (if applicable)

If we accept orders for delivery outside Australia, additional terms may apply, including:

  • customs duties, taxes and import charges may be payable; these are your responsibility
  • delivery times may be longer and subject to customs inspections
  • you must comply with all applicable import/export laws and regulations.

Check any applicable restrictions and charges before placing an international order.

9. Returns, refunds and warranty

Your rights in relation to returns, refunds and warranties are set out in our Returns, Refunds and Warranty Policy, which forms part of these Terms and is available on our website.

Nothing in these Terms limits or excludes your rights under the Australian Consumer Law.

10. Australian Consumer Law (ACL)

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to:

  • a replacement or refund for a major failure, and
  • compensation for any other reasonably foreseeable loss or damage, and
  • have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

These rights are in addition to any other rights and remedies available to you under law and any applicable manufacturer’s warranties.

11. Product installation and use

Some Products (including certain lighting products) may require proper installation or use in accordance with the manufacturer’s instructions.

You are responsible for:

  • reading and following all safety and installation instructions
  • arranging installation by a qualified professional where required (for example, for hardwired or electrical products)
  • using the Products only for their intended purpose.

We are not responsible for any loss, damage or injury arising from incorrect installation, misuse, neglect, unauthorised modification or failure to follow instructions, except to the extent required by law.

12. Limitation of liability

To the maximum extent permitted by law, and subject to your rights under the ACL:

  • we exclude all warranties, guarantees, conditions and representations not expressly stated in these Terms
  • our liability for any claim arising out of or in connection with these Terms, your order or your use of the Products is limited, at our option, to:
    • replacing or repairing the Products
    • supplying equivalent products
    • paying the cost of replacement, repair or supply of equivalent products.

We are not liable for:

  • any indirect or consequential loss or damage
  • loss of profit, revenue, opportunity, data, goodwill or anticipated savings
  • any loss or damage that was not reasonably foreseeable at the time you entered into these Terms.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the ACL or other applicable law.

13. Warranty and manufacturer’s warranties

Some Products (including Uberlight Flex and Frame) may come with a manufacturer’s warranty.
Any such warranty is provided by the manufacturer, not by us, and is subject to the terms and conditions specified by the manufacturer.

We will comply with the ACL and, where practical, may assist you with making a claim under any manufacturer’s warranty.
Any manufacturer’s warranty is in addition to, and does not limit, your ACL rights.

14. Force majeure

We are not liable for any delay or failure to perform our obligations under these Terms where such delay or failure is due to events beyond our reasonable control, including:

  • acts of God
  • natural disasters
  • war, riots or civil unrest
  • strikes or industrial action
  • failure of utilities or telecommunications
  • disruptions in transport or supply chains
  • government restrictions or public health emergencies.

If such an event occurs, we will take reasonable steps to minimise its impact on you and resume performance as soon as reasonably practicable.

15. Personal information and privacy

We collect, use and disclose your personal information in accordance with our Privacy Policy, which forms part of these Terms and is available on our website.

By placing an order, you consent to our handling of your personal information as described in the Privacy Policy.

16. Intellectual property

All content on our website, including text, images, graphics, logos, icons, audio and video clips, design, layout, software and code, is owned by or licensed to us and is protected by intellectual property laws.

You may access and use the website for your personal, noncommercial use only.
You must not copy, reproduce, modify, distribute, transmit, display, perform, publish or create derivative works from any part of the website without our prior written consent, except as permitted by law.

17. Thirdparty links and services

Our website may contain links to thirdparty websites or services that are not controlled by us.
We are not responsible for the content, privacy practices or terms of those third parties, and your use of them is at your own risk.

18. Changes to these Terms

We may update these Terms from time to time. The updated Terms will be posted on our website with a new “Last updated” date.

The Terms that apply to your order are the version in place at the time you place your order.
Your continued use of the website after any changes indicates your acceptance of the updated Terms for future orders.

19. Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia (or insert another Australian state/territory if preferred).
You and we submit to the nonexclusive jurisdiction of the courts of that state or territory and the courts of appeal from them.

20. Severability

If any part of these Terms is found to be invalid, unlawful or unenforceable, that part will be severed, and the remaining parts will continue in full force and effect.

21. Entire agreement

These Terms, together with our Returns, Refunds and Warranty Policy and Privacy Policy, constitute the entire agreement between you and us in relation to the sale of Products through our website.
